1. Who we are

VerticalK is operated by Smeets BV, a Belgian Besloten Vennootschap (BV) trading as “VerticalK”. These Terms & Conditions (the “Terms”) form a binding agreement between you and us governing your use of the VerticalK website and application (the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

2. The Service

VerticalK is an endurance-training application for athletes and coaches. It imports your workouts from connected providers, gives you analytics, and offers AI-assisted coaching that suggests and adjusts training based on your own data. Features evolve over time and we may add, change or remove them.

3. Accounts & eligibility

  • You must be at least 16 years old (or the age of digital consent in your country) to use the Service.
  • You must give accurate information and keep your account details up to date.
  • You are responsible for keeping your login credentials secure and for activity under your account.
  • Tell us promptly at privacy@vertical-k.com if you suspect unauthorised use.

4. Third-party integrations

The Service lets you connect third-party accounts — including Strava, Garmin Connect, Apple Health, Polar and Wahoo — via OAuth, so we can import your data on your behalf.

  • By connecting a provider, you authorise us to access and import the data covered by the permissions you approve.
  • Your use of each provider remains subject to that provider’s own terms; you are responsible for complying with them.
  • We operate these integrations in accordance with the providers’ developer agreements, including the Strava API Agreement and the Garmin Connect Developer Program Agreement.
  • You can disconnect a provider at any time. When you do, we delete the related data within the timeframes described in our Privacy Policy (for example, Strava data within 48 hours).
  • Providers may change or discontinue their APIs; if a provider does so, the related features may stop working through no fault of ours.

5. Acceptable use

When using the Service, you must not:

  • access, scrape, store or display data belonging to other athletes, even where it is publicly visible on a source platform;
  • resell, redistribute, aggregate or repurpose data obtained through the Service or its provider integrations;
  • use the Service, or any data within it, to train artificial-intelligence or machine-learning models;
  • reverse-engineer, interfere with, or attempt to gain unauthorised access to the Service or its systems;
  • use the Service unlawfully, or in a way that infringes others’ rights or breaches a provider’s terms.

The Service shows you only your own data. We do not surface other users’ data to you.

6. Your data & content

Your data is yours. You keep all rights in the training data and content you bring to or create in the Service. You grant us only the limited licence needed to host, process and display that data to provide the Service to you.

You can export your data at any time in standard formats (FIT, GPX, JSON or CSV), and you can delete your account. How we handle personal data is described in our Privacy Policy.

7. Plans, pricing & payment

The first version of VerticalK is offered free of charge. We may introduce paid plans in future. If we do, the following will apply to paid plans:

  • Prices, billing cycle and what each plan includes will be shown clearly before you subscribe. Prices include applicable Belgian VAT unless stated otherwise.
  • Paid subscriptions may renew automatically for successive periods. We will tell you the renewal terms before you subscribe and, where required, remind you before a renewal.
  • You can cancel an auto-renewing subscription at any time before the next renewal; cancellation takes effect at the end of the current paid period.
  • Except where the law requires otherwise, fees already paid are non-refundable.

We will never start charging you for a previously free feature without clear prior notice and your agreement.

8. Right of withdrawal (consumers)

If you are a consumer in the EU, you normally have 14 days to withdraw from a distance contract without giving a reason.

  • For our free Service, there is nothing to withdraw from, as no payment is made.
  • For a paid digital service, you can ask us to begin providing it immediately. If you do, you expressly request immediate performance and acknowledge that you lose your right of withdrawal once we have fully performed — i.e. once you start using the paid service. We will confirm this to you at the point of purchase.

To withdraw where the right applies, email us at privacy@vertical-k.com within the period.

9. Intellectual property

The Service — including its software, design, branding and content (other than your own data) — belongs to Smeets BV or its licensors and is protected by intellectual-property law. We grant you a personal, non-exclusive, non-transferable right to use the Service under these Terms. Third-party names and logos (such as Strava and Garmin) belong to their respective owners and are used only as permitted by those owners’ guidelines.

10. Disclaimers

VerticalK provides training analytics and AI-assisted suggestions for informational purposes. It is not medical advice and is not a substitute for professional or medical guidance. Always train within your limits and consult a qualified professional where appropriate.

The Service is provided “as is”. To the extent permitted by law, we do not warrant that it will be uninterrupted or error-free. Nothing in these Terms excludes or limits the statutory rights and guarantees that Belgian and EU consumer law gives you; those rights always apply.

11. Liability

To the extent permitted by law, our liability for the Service is limited to foreseeable damage arising from a breach of these Terms, and (for paid plans) will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.

We do not exclude or limit our liability where it would be unlawful to do so — including for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be limited under Belgian or EU mandatory law.

12. Suspension & termination

You can stop using the Service and delete your account at any time. We may suspend or end your access if you breach these Terms, if required by law, or if we discontinue the Service, giving you reasonable notice where we can. On termination, we delete or anonymise your personal data as described in our Privacy Policy; you can export your data beforehand.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a new date and, for material changes, notify you by email or in the app. If you keep using the Service after a change takes effect, you accept the updated Terms.

14. Governing law & disputes

These Terms are governed by Belgian law. If you are a consumer, you also keep the protection of the mandatory law of your country of residence, and you may bring proceedings in the courts there. Consumers in the EU can also use the European Commission’s Online Dispute Resolution platform. If any provision of these Terms is found invalid, the rest remains in force.
